UNIVERSITY COLLEGE HOSPITAL (UCH), IBADAN
REQUEST FOR EXPRESSION OF INTEREST (EOI) FOR TRANSACTION ADVISOR (TA) ON THE REHABILITATION/UPGRADE OF THE RADIATION ONCOLOGY CENTRE AT THE UNIVERSITY COLLEGE HOSPITAL, IBADAN, OYO STATE ON PUBLIC-PRIVATE PARTNERSHIP (PPP) ARRANGEMENT
1. INTRODUCTION
The University College Hospital, Ibadan, Nigeria’s foremost teaching hospital intends to renovate and upgrade the Radiation Oncology Centre in order to improve the Radiotherapy services in the University College Hospital, Ibadan through the Public Private Partnership (PPP) arrangement. The proposed redevelopment is part of the Hospital’s intervention aimed at filling the yawning gap in the provision of an adequate and conducive environment for the training of medical staff of the Teaching Hospital.
In compliance with the Infrastructure Concession Regulatory Commission Establishment Act (2005) and the National Policy on Public Private Partnerships (N4P), the Hospital submitted an outline Business case (OBC) and Financial Model (FM) from the proponent to the Infrastructure Concession Regulatory Commission (ICRC) for consideration.
The commission, having assessed and affirmed the bankability of procuring the renovation and upgrade of the radiation oncology centre through the PPP arrangement, has issued on OBC compliance certificate to enable the UCH to commence the procurement of a private partner for the project.
2. SCOPE
In furtherance, therefore, the University College Hospital, Ibadan hereby suitable, competent and reputable firms/consortia to make submission as Transaction Advisor for the provision of advisory services and support the Project Delivery Team (PDT) in the procurement of a Private partner in the PPP implementation of the renovation/upgrade of the Radiotherapy Centre. The selected consultant will be required to perform the following tasks in line with the approved Outline Business Case (OBC) for the project amongst other things as stipulated in the Terms of Reference (TOR);
i. Review the OBC and financial model approved for the projects and conduct further assessment to be used in tender stage.
ii. Project management
iii. PPP advisory
iv. Conduct due diligence and stakeholders consultation
v. Carry out the procurement and Negotiation phase of the project.
vi. Prepare and develop the full business case (FBC) for the project.
3. ELIGIBILITY REQUIREMENTS
The prospective Transaction Adviser may consist of a single firm or a consortium of firms with specialist in the Financial, Legal, Technical, PPP and other specialist expertise required to successful bring the project to financial close. In the case of a consortium, members must jointly identity one of the firms comprising the consortium as the Lead Transaction Adviser and indicate clearly whether
the association is in the form of a joint venture and/or a sub-consultancy. The Lead Transaction Adviser will have primary responsibility not only for liaising with the Project Delivery Team (PDT) but also to manage the consortium’s advisory inputs as a whole.
All interested firms seeking to be considered should submit the following document;
a. Evidence of Certificate of Incorporation issued by Corporate Affairs Commission (CAC) including Forms CAC 1.1 or CAC 2 and CAC7 Business name with form BN1 is also acceptable;
b. Evidence of Company’s Income Tax Clearance Certificates(or personal Income Tax Clearance Certificates for all partners) for the last three (3) years valid till 31st December 2023;
c. Evidence of Pension Clearance Certificate valid till 31st December, 2022 (this requirement is only applicable to bidders whose number of staff is 15 and above).
d. Evidence of Industrial Training Fund (ITF) Compliance Certificate valid till 31st December, 2022 (this requirement is only applicable to bidders whose number of staff is 5 and above or the bidder’s annual turnover is N50m and above);
e. Evidence of current Nigeria Social Insurance Trust Fund (NSITF) Compliance Certificate valid till 31st December, 2022;
f. Evidence of Registration on the National Database of Federal Contractors, Consultants and Service Providers by submission of Interim Registration Report (IRR) expiring on 31/12/2022 or valid Certificate issued by BPP;
g. Sworn affidavit
- disclosing whether or not any officer of the relevant committees of University College Hospital, Ibadan or Bureau of Public Procurement (BPP) is a former or present Director, shareholder or has any pecuniary interest in the bidder and to confirm that all information presented in its bid are true and correct in all particulars;
- That no director has been convicted in any county for any criminal offence relating to fraud impropriety or criminal misrepresentation
of falsification of facts relating to any matter. - That the company is not in receivership, the subject of any form or bankruptcy proceedings of the subject of any form of winding up
petition or proceeding - That the company does not have existing loan or financial liability with a bank, other financial institutions of third party that is classified as doubtful, non-performance, bad or whose repayment portion has been outstanding for the last four (4) months.
h. Evidence of firm’s current registration with the relevant regulatory professional body(ies) in areas such as Financial, Legal, Technical etc.
i. Company’s Audited Accounts for the last three years (2020, 2021 & 2022)
j. Reference letter from a reputable commercial bank indicating willingness to provide credit facility for the execution of the project when needed;
k. Company profile with the curriculum vitae of key staff to be deployed for the project, including copies of their academic/professional qualifications such as Financial, Legal, Technical, PPP and other specialist expertise;
l. Verifiable documentary evidence of at least three (3) similar jobs executed in the last five (5) years including letters of awards, valuation certificates, job completion certificates and photographs of the projects;
m. For Joint Venture/Partnership, Memorandum of Understanding (MoU) should be provided (CAC, Tax Clearance Certificates, Pension Clearance Certificate, ITF Compliance Certificate, NSITF Clearance Certificate, IRR & Sworn affidavit are compulsory for each JV Partner);
Note: All documents for submission must be submitted with a Covering/Forwarding letter under the Company’s letter head paper bearing amongst others, the Registration Number (RC) as issued by the CAC, Contact Address, Telephone Number (preferably GSM No) fax and email address. The letter head paper must bear the Names and Nationalities of the Directors of the company at the bottom of the page, duly signed by the authorized officer of the firm.
4. SUBMISSION OF DOCUMENTS

The sealed documents should be deposited in the tender box in the office of the Deputy Director (Public Private Partnership Unit) 2nd floor, Mortuary building, UCH, Ibadan, Nigeria not later than 12:00 noon, Thursday, 22nd February, 2024.
5. OPENING OF EXPRESSION OF INTEREST
All EOIs shall be opened immediately after the deadline for submission at 12:00 noon, Thursday, 22nd February, 2024 at the Omolade Alade Hall of the School of Nursing, UCH, Ibadan. Firms are required to be present at the EOI’s opening ceremony. Any document submitted after this date and time shall be returned un-opened.
6. GENERAL INFORMATION
Interested Transaction Advisers are to note that upon receipt and opening of EOIs, the Hospital shall evaluate and shortlist applicants.
Thereafter, only short-listed consortium/firms will be invited at a later date for collection of Request for Proposals.
a) Submission of EOIs shall be in English Language only.
b) Submission of EOIs through electronic media will not be considered.
7. DISCLAIMER
Only EOI that fulfills the above requirements and submitted within the stipulated dates shall be given consideration, Notwithstanding, the University college hospital, Ibadan reserves the right to reject or accept any or all the submission and to annul the procurement process at any time without incurring any liabilities, in accordance with section 28 of the Public Procurement Act, 2007. This
